LICENSE INFORMATION

The Programs listed below are licensed under the following License Information terms and conditions in addition to the Program license terms previously agreed to by Client and IBM. If Client does not have previously agreed to license terms in effect for the Program, the International Program License Agreement (Z125-3301-14) applies.

The following standard terms apply to Licensee's use of the Program.

Limited use right

As described in the International Program License Agreement ("IPLA") and this License Information, IBM grants Licensee a limited right to use the Program. This right is limited to the level of Authorized Use, such as a Processor Value Unit ("PVU"), a Resource Value Unit ("RVU"), a Value Unit ("VU"), or other specified level of use, paid for by Licensee as evidenced in the Proof of Entitlement. Licensee's use may also be limited to a specified machine, or only as a Supporting Program, or subject to other restrictions. As Licensee has not paid for all of the economic value of the Program, no other use is permitted without the payment of additional fees. In addition, Licensee is not authorized to use the Program to provide commercial IT services to any third party, to provide commercial hosting or timesharing, or to sublicense, rent, or lease the Program unless expressly provided for in the applicable agreements under which Licensee obtains authorizations to use the Program. Additional rights may be available to Licensee subject to the payment of additional fees or under different or supplementary terms. IBM reserves the right to determine whether to make such additional rights available to Licensee.

Prohibited Uses

Licensee may not use or authorize others to use the Program if failure of the Program could lead to death, bodily injury, or property or environmental damage.

In addition to the above, the following terms apply to Licensee's use of the Program.

These terms apply to the Program(s) and optionally installable part(s) ("Option(s)") of the Program(s) unless the Option(s) have a separate LI.

Charges

Processor Core

Processor Core (or Processor) is a unit of measure by which the Program can be licensed. Processor Core (or Processor) is a functional unit within a computing device that interprets and executes instructions. A Processor Core consists of at least an instruction control unit and one or more arithmetic or logic units. With multi-core technology, each core is considered a Processor Core.

Entitlements for the Program must be acquired for the number of processors (including any temporary processors) in a single machine used to run the Program. The number of processors used by the Program in a machine is the smaller value of either of the following methods:

- The total number of activated processors in the machine, or
- The sum of (a) and (b) as follows (any remaining fraction of a processor must be rounded up to a full processor in the final aggregation):

(a) When the Program is run in partitions with dedicated processors, the sum of the processors assigned to those partitions, and

(b) When the Program is run in partitions that are members of a shared processing pool the sum of the smaller of (i) or (ii) for each shared processor pool:
(i) the maximum capacity of the share processor pool, or
(ii) the sum of the virtual processors of each uncapped partition plus the processors assigned in each capped partition running the Program

Time-Limited Evaluation Use

If Licensee has not acquired an entitlement to use the Program for productive use under the IBM International Program License Agreement (the "IPLA"), Licensee may use the Program for an evaluation period of no more than 70 days for internal evaluation, testing, or demonstration purposes on a trial basis ("Evaluation"). During the term of Licensee's Evaluation, the terms of the IBM International License Agreement for Evaluation of Programs (the "Evaluation License"), a copy of which accompanies the Program, apply to Licensee's use of the Program. By using the Program for Evaluation, Licensee agrees to the terms of the Evaluation License and its associated License Information document.

If Licensee elects to retain the Program after the Evaluation by obtaining valid entitlements to use the Program, Licensee must then obtain a valid License Key, and the IBM International Program License Agreement (the "IPLA") will automatically apply to Licensee's use of the Program and the Evaluation License will cease to apply.

The Evaluation License and the IPLA are not in effect concurrently; neither modifies the other, and each is independent of the other.

Transfer of Program Rights and Obligations

The terms of Part 1- General Terms; section 7. Program Transfer of this Agreement do not apply and are replaced with the following:

Licensee may not transfer the Program to another party. Licensee may move the Program entitlement, subject to Licensee's Proof of Entitlement, to another machine within Licensee's Enterprise. An Enterprise is any legal entity (including, without limitation, an individual, a partnership or a corporation) and its Subsidiaries. A Subsidiary is any legal entity, during the time that more than 50% of its voting stock, or if no voting stock, decision-making power, is owned or controlled, directly or indirectly, by the Enterprise.

If the Program entitlement is moved to another machine within Licensee's Enterprise, use of the Program shall remain governed by this Agreement. In the event Licensee wishes to use the Program entitlement on a different machine within Licensee's Enterprise with a different or greater entitlement than the original machine, then Licensee must obtain proper entitlement from IBM or its authorized reseller and must update Licensee's entitlement to any software maintenance and support for such Program. The transfer of the Program entitlement to another machine within Licensee's enterprise terminates Licensee's authorization to use the Program on the machine from which the Program entitlement has been transferred.

Trade-up

If the Program is a trade-up Program (per Section 3.1.1 of the Agreement), Licensee is authorized to continue to use the previous version or release of the Program ("Previous Program") only if Licensee is an authorized user of that Previous Program, and provided Licensee (i) installs the trade-up Program on the same machine as the Previous Program, and (ii) has acquired sufficient entitlements to cover both the Previous Program and the trade-up Program.
