LICENSE INFORMATION

The Programs listed below are licensed under the following License Information terms and conditions in addition to the Program license terms previously agreed to by Client and IBM. If Client does not have previously agreed to license terms in effect for the Program, the International Program License Agreement (Z125-3301-14) applies.

The following standard terms apply to Licensee's use of the Program.

Limited use right

As described in the International Program License Agreement ("IPLA") and this License Information, IBM grants Licensee a limited right to use the Program. This right is limited to the level of Authorized Use, such as a Processor Value Unit ("PVU"), a Resource Value Unit ("RVU"), a Value Unit ("VU"), or other specified level of use, paid for by Licensee as evidenced in the Proof of Entitlement. Licensee's use may also be limited to a specified machine, or only as a Supporting Program, or subject to other restrictions. As Licensee has not paid for all of the economic value of the Program, no other use is permitted without the payment of additional fees. In addition, Licensee is not authorized to use the Program to provide commercial IT services to any third party, to provide commercial hosting or timesharing, or to sublicense, rent, or lease the Program unless expressly provided for in the applicable agreements under which Licensee obtains authorizations to use the Program. Additional rights may be available to Licensee subject to the payment of additional fees or under different or supplementary terms. IBM reserves the right to determine whether to make such additional rights available to Licensee.

Prohibited Uses

Licensee may not use or authorize others to use the Program if failure of the Program could lead to death, bodily injury, or property or environmental damage.

License Terms delivered with Program Not Applicable

The terms of this Agreement supersede and void any electronic "click through," "shrinkwrap," or other licensing terms and conditions included with or accompanying the Program(s).

Multi-Product Install Image

The Program is provided as part of a multi-product install image. Licensee is authorized to install and use only the Program (and its Bundled or Supporting Programs, if any) for which a valid entitlement is obtained and may not install or use any of the other software included in the image unless Licensee has acquired separate entitlements for that other software.

Supporting Programs

Licensee is authorized to install and use the Supporting Programs identified below. Licensee is authorized to install and use such Supporting Programs only to support Licensee's use of the Principal Program under this Agreement. The phrase "to support Licensee's use" would only include those uses that are necessary or otherwise directly related to a licensed use of the Principal Program or another Supporting Program. The Supporting Programs may not be used for any other purpose. A Supporting Program may be accompanied by license terms, and those terms, if any, apply to Licensee's use of that Supporting Program. In the event of conflict, the terms in this License Information document supersede the Supporting Program's terms. Licensee must obtain sufficient entitlements to the Program, as a whole, to cover Licensee's installation and use of all of the Supporting Programs, unless separate entitlements are provided within this License Information document. For example, if this Program were licensed on a PVU (Processor Value Unit) basis and Licensee were to install the Principal Program or a Supporting Program on a 100 PVU machine (physical or virtual) and another Supporting Program on a second 100 PVU machine, Licensee would be required to obtain 200 PVU entitlements to the Program.

Separately Licensed Code

The provisions of this paragraph do not apply to the extent they are held to be invalid or unenforceable under the law that governs this license. Each of the components listed below is considered "Separately Licensed Code". IBM Separately Licensed Code is licensed to Licensee under the terms of the applicable third party license agreement(s) set forth in the NON_IBM_LICENSE file(s) that accompanies the Program. Notwithstanding any of the terms in the Agreement, or any other agreement Licensee may have with IBM, the terms of such third party license agreement(s) governs Licensee's use of all Separately Licensed Code unless otherwise noted below.

Future Program updates or fixes may contain additional Separately Licensed Code. Such additional Separately Licensed Code and related licenses are listed in another NON_IBM_LICENSE file that accompanies the Program update or fix. Licensee acknowledges that Licensee has read and agrees to the license agreements contained in the NON_IBM_LICENSE file(s). If Licensee does not agree to the terms of these third party license agreements, Licensee may not use the Separately Licensed Code.

For Programs acquired under the International Program License Agreement ("IPLA") or International Program License Agreement for Non Warranted Program ("ILAN") and Licensee is the original licensee of the Program, if Licensee does not agree with the third party license agreements, Licensee may return the Program in accordance with the terms of, and within the specified time frames stated in, the "Money-back Guarantee" section of the IPLA or ILAN IBM Agreement.

Note: Notwithstanding any of the terms in the third party license agreement, the Agreement, or any other agreement Licensee may have with IBM:
(a) IBM provides this Separately Licensed Code to Licensee WITHOUT WARRANTIES OF ANY KIND;
(b) IBM DISCLAIMS ANY AND ALL EXPRESS AND IMPLIED WARRANTIES AND CONDITIONS INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, NON-INFRINGEMENT OR INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SEPARATELY LICENSED CODE;
(c) IBM is not liable to Licensee, and will not defend, indemnify, or hold Licensee harmless for any claims arising from or related to the Separately Licensed Code; and
(d) IBM is not liable for any direct, indirect, incidental, special, exemplary, punitive or consequential damages including, but not limited to, lost data, lost savings, and lost profits, with respect to the Separately Licensed Code.

Notwithstanding these exclusions, in Germany and Austria, IBM's warranty and liability for the Separately Licensed Code is governed only by the respective terms applicable for Germany and Austria in IBM license agreements.

Note: IBM may provide limited support for some Separately Licensed Code. If such support is available, the details and any additional terms related to such support will be set forth in the License Information document.

Privacy

Licensee acknowledges and agrees that IBM may use cookie and tracking technologies to collect personal information in gathering product usage statistics and information designed to help improve user experience and/or to tailor interactions with users in accordance with the IBM Online Privacy Policy, available at http://www.ibm.com/privacy/.

Benchmarking

Licensee may disclose the results of any benchmark test of the Program or its subcomponents to any third party provided that Licensee (A) publicly discloses the complete methodology used in the benchmark test (for example, hardware and software setup, installation procedure and configuration files), (B) performs Licensee's benchmark testing running the Program in its Specified Operating Environment using the latest applicable updates, patches and fixes available for the Program from IBM or third parties that provide IBM products ("Third Parties"), and (C) follows any and all performance tuning and "best practices" guidance available in the Program's documentation and on IBM's support web sites for the Program. If Licensee publishes the results of any benchmark tests for the Program, then notwithstanding anything to the contrary in any agreement between Licensee and IBM or Third Parties, IBM and Third Parties will have the right to publish the results of benchmark tests with respect to Licensee's products provided IBM or Third Parties complies with the requirements of (A), (B) and (C) above in its testing of Licensee's products.

Notwithstanding the foregoing, under no circumstances may Licensee publish the results of benchmark tests run on Oracle Outside In Technology without prior written permission.

Source Components and Sample Materials

The Program may include some components in source code form ("Source Components") and other materials identified as Sample Materials. Licensee may copy and modify Source Components and Sample Materials for internal use only provided such use is within the limits of the license rights under this Agreement; provided, however, that Licensee may not alter or delete any copyright information or notices contained in the Source Components or Sample Materials. IBM provides the Source Components and Sample Materials without obligation of support and "AS IS", WITH NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF TITLE, NON-INFRINGEMENT OR NON-INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Terms for Microsoft Visual Studio

The Program may contain Microsoft Visual Studio SDK code. Licensee is not permitted to use such code to develop extensions to Microsoft Visual Studio.

Export and Import Restrictions

This Program may contain cryptography. Transfer to, or use by, users of the Program may be prohibited or subject to export or import laws, regulations or policies, including those of the United States Export Administration Regulations. Licensee assumes all responsibility for complying with all applicable laws, regulations, and policies regarding the export, import, or use of this Program, including but not limited to, U.S. restrictions on exports or reexports. Third Party Data and Services

The Program may contain links to or be used to access third party data services, databases, web services, software, or other third party content (all, "content"). Access to this content is provided "AS-IS", WITH NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF TITLE, NON-INFRINGEMENT OR NON-INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Access can be terminated by the relevant third parties at their sole discretion at any time. Licensee may be required to enter into separate agreements with the third parties for the access to or use of such content. IBM is not a party to any such separate agreements and as an express condition of this license Licensee agrees to comply with the terms of such separate agreements.

The following units of measure may apply to Licensee's use of the Program.

Authorized User

Authorized User is a unit of measure by which the Program can be licensed. An Authorized User is a unique person who is given access to the Program. The Program may be installed on any number of computers or servers and each Authorized User may have simultaneous access to any number of instances of the Program at one time. Licensee must obtain separate, dedicated entitlements for each Authorized User given access to the Program in any manner directly or indirectly (for example: via a multiplexing program, device, or application server) through any means. An entitlement for an Authorized User is unique to that Authorized User and may not be shared, nor may it be reassigned other than for the permanent transfer of the Authorized User entitlement to another person.

Concurrent User

Concurrent User is a unit of measure by which the Program can be licensed. A Concurrent User is a person who is accessing the Program at any particular point in time. Regardless of whether the person is simultaneously accessing the Program multiple times, the person counts only as a single Concurrent User. The Program may be installed on any number of computers or servers, but Licensee must obtain entitlements for the maximum number of Concurrent Users simultaneously accessing the Program. Licensee must obtain an entitlement for each simultaneous Concurrent User accessing the Program in any manner directly or indirectly (for example: via a multiplexing program, device, or application server) through any means.

Processor Value Unit (PVU)

Processor Value Unit (PVU) is a unit of measure by which the Program can be licensed. The number of PVU entitlements required is based on the processor technology (defined within the PVU Table by Processor Vendor, Brand, Type and Model Number at http://www.ibm.com/software/lotus/passportadvantage/pvu_licensing_for_customers.html) and the number of processors made available to the Program. IBM continues to define a processor, for the purpose of PVU-based licensing, to be each processor core on a chip. A dual-core processor chip, for example, has two processor cores.

Licensee can deploy the Program using either Full Capacity licensing or Virtualization Capacity (Sub-Capacity) licensing according to the Passport Advantage Sub-Capacity Licensing Terms (see webpage below). If using Full Capacity licensing, Licensee must obtain PVU entitlements sufficient to cover all activated processor cores* in the physical hardware environment made available to or managed by the Program, except for those servers from which the Program has been permanently removed. If using Virtualization Capacity licensing, Licensee must obtain entitlements sufficient to cover all activated processor cores made available to or managed by the Program, as defined according to the Virtualization Capacity License Counting Rules at http://www.ibm.com/software/lotus/passportadvantage/Counting_Software_licenses_using_specific_virtualization_technologies.html.

* An Activated processor core is a processor core that is available for use in a physical or virtual server, regardless of whether the capacity of the processor core can be or is limited through virtualization technologies, operating system commands, BIOS settings, or similar restrictions.

Virtual Processor Core

Virtual Processor Core is a unit of measure by which the Program can be licensed. A Server is a physical computer that is comprised of processing units, memory, and input/output capabilities and that executes requested procedures, commands, or applications for one or more users or client devices. Where racks, blade enclosures, or other similar equipment is being employed, each separable physical device (for example, a blade or a rack-mounted device) that has the required components is considered itself a separate Server. A Virtual Server is either a virtual computer created by partitioning the resources available to a physical Server or an unpartitioned physical Server. A Processor Core is a functional unit within a computing device that interprets and executes instructions. A Processor Core consists of at least an instruction control unit and one or more arithmetic or logic unit. A Virtual Processor Core is a Processor Core on a Virtual Server created by partitioning the resources available to a physical Server or an unpartitioned physical Server. Licensee must obtain entitlement for each Virtual Processor Core made available to the Program.

In addition to the above, the following terms apply to Licensee's use of the Program.

Licensee is permitted to process 150 Content Operations and 300 Workflow Operations in a single calendar day for each Concurrent User entitlement obtained to the Program.

A Content Operation is each access or update to a document, folder or custom object within the Program as measured in the Program's usage tracking.

A Workflow Operation is accessing or performing a task in a workflow instance within the Program as measured in the Program's usage tracking. Each single workflow instance update counts as one individual Workflow Operation.


Infrequent User

Infrequent User is a unit of measure by which the Program can be licensed. Any Infrequent Users given access to the Program requires an entitlement. An Infrequent User is an Authorized User who accesses the Program not more than one hundred twenty (120) times in any consecutive 12 month period. A single access is comprised of one or more interactions between the Infrequent User and the Program or actions performed on behalf of the Infrequent User by the Program, all within a consecutive 15 minute period.

Licensee must track accesses by Infrequent Users to verify that they meet the access limitations of Infrequent Users. Licensee agrees to provide to IBM and its auditors details of the tracking mechanism described above, upon request.

Employee User

Employee User is a unit of measure by which the Program can be licensed. An Employee User is a unique person employed in Licensee's Enterprise, whether or not given access to the Program, or a unique person otherwise paid by or acting on behalf of Licensee's Enterprise who is given access to the Program in any manner directly or indirectly (for example: via a multiplexing program, device, or application server) through any means. An entitlement for an Employee User is unique to that Employee User and may not be shared, nor may it be reassigned other than for the permanent transfer of the entitlement to another person. Licensee must acquire sufficient employee user entitlements to cover all employees and any other unique persons paid by or acting on behalf of Licensee's Enterprise.

External User

External User is a unit of measure by which the Program can be licensed. An External User is a unique person, not employed in, paid by, or acting on behalf of Licensee's Enterprise, who is given access to the Program in any manner directly or indirectly (for example: via a multiplexing program, device, or application server) through any means. A person who is employed in or paid by Licensee's Enterprise, but is not accessing the Program within the scope of that relationship may be an External User. An entitlement for an External User is unique to that External User and may not be shared, nor may it be reassigned other than for the permanent transfer of the entitlement to another person.

Components not Used for Establishing Required Entitlements

When determining the number of entitlements required for Licensee's installation or use of the Program, the installation or use of the following Program components are not taken into consideration. In other words, Licensee may install and use the following Program components, under the license terms, but these components are not used to determine the number of entitlements required for the Program.

All components of the Program when used only for augmenting an existing, compatible Deployment Manager ("DMGR") profile and supporting the remote administration and network deployment of the Program.

PERMITTED COMPONENTS

Notwithstanding any provision in the Agreement, Licensee is permitted to use only the following components or functions of the identified Bundled or Supporting Program:

- Case Manager Crawler of Analytical Components only for the purpose of building Analytics Collections (of IBM Watson Explorer Advanced Edition)
- Content Analytics Miner only for the purpose of analyzing the Analytics Collections (of IBM Watson Explorer Advanced Edition)

Prohibited Components

Notwithstanding any provision in the Agreement, Licensee is not authorized to use any of the following components or functions of the Program:

- Connection to Process Center of IBM Business Automation Workflow Express
- pureScale clustering technology (of IBM Db2 Advanced Workgroup Server Edition)
- SQL Replication (of IBM Db2 Advanced Workgroup Server Edition)
- Q Replication (of IBM Db2 Advanced Workgroup Server Edition)
- Db2 Connect (of IBM Db2 Advanced Workgroup Server Edition)
- SQL Warehousing Tool (SQW) (of IBM Db2 Advanced Workgroup Server Edition)
- IBM InfoSphere Data Architect 9.1.3 (of IBM Db2 Advanced Workgroup Server Edition)
- IBM InfoSphere Data Replication 11.3.3 (CDC component) (of IBM Db2 Advanced Workgroup Server Edition)

IBM Watson Explorer Advanced Edition
- Use Limitations: Licensee is permitted to use the Permitted Components to analyze up to 100 Gigabytes of content stored in the Program's repository for use with Analytics Collections. A Gigabyte is 2 to the 30th power bytes.

"Analytics Collections" means collections created in the Watson Explorer Administration Console.

"No Metric" means this Supporting Program may be installed on as many machines and used by as many persons as is reasonably necessary within the use limitations that apply to this Supporting Program.

"Use by Principal Program" means that the Supporting Program is provided exclusively for use by the Principal Program. Neither Licensee nor any application, program or device is authorized to directly use or access the services of the Supporting Program except Licensee may access the Supporting Program to perform administrative functions for the Supporting Program such as backup, recovery and authorized configuration.

"Nonsupported" means the Supporting Program is provided without obligation of support and "AS IS," WITH NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF TITLE, NON-INFRINGEMENT OR NON-INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Other IBM Db2 Advanced Workgroup Server Edition Restrictions

The Supporting Program may use a maximum of 16 processor cores and 128 GB of memory on each physical or virtual server; however, if the Supporting Program is used on a cluster of servers configured to work together using database partitioning or other permitted clustering technology, the Supporting Program may use a maximum of 16 processor cores and 128 GB of memory across all virtual or physical servers in that cluster.

Entitlement Conversion Details

These Entitlement Conversion Details outline the entitlement conversion options. Licensee is entitled to the below entitlement conversion options in any deployment combination of Licensee's choosing and may choose to convert entitlements between the listed programs below at any time provided that the sum of Licensee's deployments do not exceed the total amount of Licensee's entitlements obtained for the Program. Licensee is not entitled to use entitlements obtained of the Program for any other purpose.

Unless otherwise indicated, Licensee may deploy and use any then currently supported version or release of the listed programs. If support for a deployed version or release of a listed program is subsequently no longer being made available, support will not be available through this Program either. While Licensee may choose to continue to use that deployed version or release, Subscription and Support (S&S) for this Program will not actually provide support for the unsupported version or release of the listed program.

Depending on the agreements between IBM and the Licensee, Licensee may have committed that when obtaining S&S they would do so for all uses and installations of an IBM Program. For the purposes of any such commitment, the individual Bundled Programs are the IBM Programs subject to that S&S commitment and to the extent that Licensee is obligated to acquire S&S for a Bundled Program, Licensee can satisfy that obligation as to the entitlements obtained under this Program by maintaining S&S for this Program as a whole.

"Conversion Entitlement Ratio n/m" means that Licensee can convert some number ('n') entitlements of the indicated metric for the listed program for every specified number ('m') entitlements of the specified metric for the Program. Once converted, Licensee may only use such converted entitlements for the listed program. The specified conversion does not apply to any entitlements for the Program that are not of the required metric type. For example, if the conversion is 100 entitlements of a listed program for every 500 entitlements obtained of the Program and Licensee acquires 1,500 entitlements of the Program, Licensee may convert those 1,500 entitlements into 300 entitlements of the listed program, allowing the Licensee to use the listed program up to the 300 entitlements.
