Supporting Programs

The Program is licensed as a multi-product package and includes the Supporting Programs identified below. Licensee is authorized to install and use such Supporting Programs only to support Licensee's use of the Principal Program under this Agreement and within the limits of the Proofs of Entitlement for the Program (unless broader rights are provided elsewhere in this License Information document). The phrase "to support Licensee's use" would include only those uses that are necessary or otherwise directly related to a licensed use of the Principal Program or another Supporting Program. The Supporting Programs may not be used for any other purpose. Licensee is not authorized to transfer or remarket the Supporting Programs separate from the Principal Program. The terms of this Agreement may replace or modify the license terms for the Supporting Programs. In the event of conflict, these terms supersede the terms of the license agreement which accompanies the Supporting Programs. When Licensee's right to use the Program expires or terminates, Licensee must discontinue use, destroy or promptly return all copies of the Supporting Programs to the party from whom Licensee acquired the Program. If Licensee downloaded the Supporting Programs, Licensee should contact the party from whom Licensee acquired the Program. If Licensee wishes to license the Supporting Programs for any use beyond the limits set forth above, please contact an IBM Sales Representative or the party from whom Licensee acquired the Program to obtain the appropriate license.

The following are Supporting Programs licensed with the Program:

Source Components

The Program may include some components in source code form ("Source Components"). Licensee may copy and modify Source Components for internal use only provided such use is within the limits of the license rights under this Agreement, provided however that Licensee may not alter or delete any copyright information or notices contained in the Source Components. IBM provides the Source Components without obligation of support and "AS IS", WITH NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF TITLE, NON-INFRINGEMENT OR NON-INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Export and Import Restrictions

This Program may contain cryptography. Transfer to, or use by, users of the Program may be prohibited or subject to export or import laws, regulations or policies, including those of the United States Export Administration Regulations. Licensee assumes all responsibility for complying with all applicable laws, regulations, and policies regarding the export, import, or use of this Program, including but not limited to, U.S. restrictions on exports or reexports. Restrictions on Use for the Benefit of a Third Party

Licensee may not use the Program or any component thereof to provide service bureau, hosting services, or any sort of commercial information technology services to third parties, or transfer the Program to a third party, unless otherwise agreed to in writing by IBM.

Program-unique Terms

A. Definitions

1) Application
"Application" means a computer program that is used to accomplish specific business tasks (such as Customer Relationship Management ("CRM"), Enterprise Resource Planning ("ERP"), Supply Chain Management ("SCM"), business information warehouse, accounting and inventory control programs), including the database server for that task. In this definition, a single Application is not a standalone database management system or systems management tool (i.e., related to the management or operation of the computer itself or of other computer programs).

B. General Charge Terms

The Program is available for licensing in accordance with one or more of the following levels of use:

1) Authorized User
Authorized User is a unit of measure by which the Program can be licensed. An Authorized User is a unique person who is given access to the Program. The Program may be installed on any number of computers or servers and each Authorized User may have simultaneous access to any number of instances of the Program at one time. Licensee must obtain separate, dedicated entitlements for each Authorized User accessing the Program in any manner directly or indirectly (for example: via a multiplexing program, device, or application server) through any means. An entitlement for an Authorized User is unique to that Authorized User and may not be shared, nor may it be reassigned other than for the permanent transfer of the Authorized User entitlement to another person.

2) Processor Value Unit
Processor Value Unit (PVU) is a unit of measure by which the Program can be licensed. The number of PVU entitlements required is based on the processor technology (defined within the PVU Table by Processor Vendor, Brand, Type and Model Number at http://www.ibm.com/software/lotus/passportadvantage/pvu_licensing_for_customers.html) and the number of processors made available to the Program. IBM continues to define a processor, for the purpose of PVU-based licensing, to be each processor core on a chip. A dual-core processor chip, for example, has two processor cores. Licensee can deploy the Program using either Full Capacity licensing or Virtualization Capacity (Sub-Capacity) licensing according to the Passport Advantage Sub-Capacity Licensing Terms (see webpage below). If using Full Capacity licensing, Licensee must obtain PVU entitlements sufficient to cover all activated processor cores* in the physical hardware environment made available to or managed by the Program, except for those servers from which the Program has been permanently removed. If using Virtualization Capacity licensing, Licensee must obtain entitlements sufficient to cover all activated processor cores made available to or managed by the Program, as defined according to the Virtualization Capacity License Counting Rules at http://www.ibm.com/software/lotus/passportadvantage/Counting_Software_licenses_using_specific_virtualization_technologies.html.

* An Activated processor core is a processor core that is available for use in a physical or virtual server, regardless of whether the capacity of the processor core can be or is limited through virtualization technologies, operating system commands, BIOS settings, or similar restrictions.

3) Processor
Processor is a unit of measure by which the Program can be licensed. Processor (commonly called a processor core or CPU) is a functional unit within a computing device that interprets and executes instructions. A processor consists of at least an instruction control unit and one or more arithmetic or logic unit. With multi-core technology, each core is considered a processor. With full capacity licensing, an entitlement must be acquired for all activated processor cores available for use on the server. For programs eligible for sub-capacity licensing, a Proof of Entitlement (PoE) must be acquired for all activated processors available for use in each partition (utilizing eligible partitioning technologies) where the program runs. Refer to the "International Passport Advantage Agreement Attachment for Sub-Capacity Terms" or the program's License Information to determine applicable sub-capacity terms.

C. General Terms, Conditions, and Restrictions

Notwithstanding any other terms of this Agreement, the following will apply to all the Programs listed herein:

1) Non-Production License
If Licensee acquires a Non-production license for non-production use of a Program, as indicated by the notation "Non-Production Environment" with respect to the Program Name, Licensee is not permitted to use the Program for production use (including but not limited to processing of production data or for transferring data to any production business system) and Licensee's use of that Program must be strictly limited to development, testing or quality assurance activities directly associated with implementation and maintenance of the Programs. The total quantity of Non-production authorizations that Licensee may acquire may not exceed the total quantity of authorizations that Licensee has acquired which permit production use.

2) Limited Use License
If Licensee acquired a "Limited Use" license, as indicated by the notation "Limited Use" with respect to the Program Name, Licensee's use of the Program is restricted to a single Application.

3) Additional Sample Materials
The Program includes additional sample materials consisting of sample data, images, models and reports which are provided under the terms of the Source Components clause.

4) Font Software
The Program includes software which generates typeface designs ("Font Software"). Licensee may not alter the Font Software component for the purposes of adding functionality which the Font Software did not have when Licensee acquired the Program. The Program, including the Font Software component, may not be used to create an electronic document in which Font Software is embedded in a format which may edited, altered, enhanced, or modified by the recipient of such document.

5) SPSS Inc. Software
The Program includes software from SPSS Inc. Licensee may use the SPSS components solely in conjunction with the Program.

D. Additional Program Specific Terms, Conditions, and Restrictions

If Licensee has acquired the right to use any of the Programs license under this Agreement then the following additional terms, conditions, and restrictions apply:

1) License Dependencies
(i) IBM Cognos Business Intelligence installations are required to have a use authorization for at least one (1) license for IBM Cognos Business Intelligence Administrator.

(ii) IBM Cognos Business Intelligence Analysis installations are required to previously have licensed or to obtain at least one (1) license for IBM Cognos Business Intelligence Analysis Administrator or for IBM Cognos Business Intelligence Administrator.

(iii) IBM Cognos Metrics Manager installations are required have a use authorization for at least one (1) license for IBM Cognos Metrics Administrator, or for IBM Cognos Business Intelligence Administrator.

(iv) IBM Cognos Business Intelligence Software Development Kit installations are required to have a use authorization for any of the following Programs: IBM Cognos Business Intelligence Administrator, IBM Cognos Business Intelligence Professional or IBM Cognos Business Intelligence Professional Author.

(v) For each use authorization acquired of IBM Cognos Business Intelligence Analysis Add-on, IBM Cognos Business Intelligence Event Studio Add-on, IBM Cognos Business Intelligence Metrics Studio Add-on, IBM Cognos Business Intelligence Query Studio Add-on, and IBM Cognos Business Intelligence Report Studio Express Author Mode Add-on, Licensee is required to have a use authorization for an IBM Cognos Business Intelligence Consumer license, or for a license role which contains the Consumer license entitlements.

(vi) If Licensee acquires one or more IBM Cognos Collaboration licenses, Licensee must also have acquired at least one of the following licenses at a release level which provides Lotus Connections as a Supporting Program using the Processor Value Unit or Processor charge metric, and deployed and provided their users with ongoing access to the IBM Cognos Business Intelligence capabilities such as Cognos Business Insight: IBM Cognos BI Enhanced Consumer, IBM Cognos Business Intelligence Advanced Business Author, IBM Cognos Business Intelligence Business Author, IBM Cognos Business Intelligence Business Analyst, IBM Cognos Business Intelligence Business Manager, IBM Cognos Business Intelligence Professional, IBM Cognos Business Intelligence Professional Author, or IBM Cognos Business Intelligence Advanced.

(vii) If Licensee acquires one or more IBM Cognos Enhanced Consumer licenses, or one or more licenses that include entitlement to IBM Cognos Business Intelligence Enhanced Consumer, using the Authorized User charge metric and at a release level which provides Lotus Connections as a Supporting Program , Licensee must also have deployed and provided these users with ongoing access to the IBM Cognos Business Intelligence capabilities such as Cognos Business Insight in order to receive the rights to the IBM Cognos Collaboration license.

2) IBM Cognos Business Intelligence Administrator
For each use authorization acquired, Licensee may use the Program to: (i) use the IBM Cognos Query Studio, IBM Cognos Report Studio, IBM Cognos Analysis Studio, IBM Cognos Metric Studio, IBM Cognos Metric Designer and IBM Cognos Event Studio modules and functionality; (ii) administer the IBM Cognos Business Intelligence Program environment in relation to server, security and report scheduling administration the ability to model metadata via IBM Cognos Framework Manager and validate content upgrades using LifeCycle Manager; (iii) use the IBM Cognos Transformer modules on all platforms commercially supported by IBM, and IBM Cognos Map Manager modules and functionality, (iv) administer and use the IBM Cognos Virtual View Manager modules and functionality to query heterogeneous databases and provide responses which are directly accessible solely by the server for the IBM Cognos Program, and (v) Licensee has all the rights and is subject to the requirements of the IBM Cognos Business Intelligence Enhanced Consumer license.

Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

3) IBM Cognos Business Intelligence Analysis Administrator
For each use authorization acquired, Licensee may use the Program to: (i) access the IBM Cognos Connection portal to select reports, view reports and set personal preferences (for languages, time zones etc.); (ii) run and schedule reports created by a licensed IBM Cognos Business Intelligence Studio module, interact with prompts, output the reports to other formats such as PDF and CSV, subscribe to a scheduled report, create and manage report folders and portal pages and use the IBM Cognos Connection portal to create and consume portal pages, including use of all of the portlet types provided with Cognos Connection, personalize standard reports, and receive Cognos Event Studio notifications and use the IBM Cognos for Microsoft Office module; (iii) use the Cognos Analysis Studio module and functionality; (iv) administer the IBM Cognos Business Intelligence Program environment in relation to server, security and report scheduling administration and the ability to model metadata via IBM Cognos Framework Manager and validate content using IBM Cognos LifeCycle Manager; and (v) use the IBM Cognos Transformer module and functionality. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality

4) IBM Cognos Metrics Administrator
For each user authorization, Licensee may use the Program to: (i) access the Cognos Connection portal to select and view only reports based on IBM Cognos Metric packages ("Metric Reports") and set personal preferences (for languages, time zones etc.); (ii) run and schedule Metric Reports, interact with prompts, output the Metric Reports to other formats such as PDF and CSV, subscribe to a scheduled Metric Report, create and manage Metric Report folders and portal pages and use the Cognos Connection portal to create and consume portal pages, including use of all of the portlet types provided with Cognos Connection, personalize standard Metric Reports; and (iii) use the Cognos Metric Studio and Cognos Metric Designer modules and functionality. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

5) IBM Cognos Business Intelligence Advanced Business Author
For each use authorization acquired, Licensee may use the Program to: (i) use the IBM Cognos Business Insight module, including but not limited to the Advanced Mode (ii) use the Cognos Query Studio module and functionality; (iii) use the Cognos Analysis Studio module and functionality; and (iv) Licensee has all the rights and is subject to the requirements of the IBM Cognos Business Intelligence Enhanced Consumer license. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

6) IBM Cognos Business Intelligence Business Author
For each use authorization acquired, Licensee may use the Program to: (i) use the Cognos Business Insight module (excluding the use of Advanced Mode) to assemble and consume dashboards; (ii) use the Cognos Query Studio module and functionality; and (v) Licensee has all the rights and is subject to the requirements of the IBM Cognos Business Intelligence Enhanced Consumer license. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

7) IBM Cognos Business Intelligence Business Analyst
For each use authorization acquired, Licensee may use the Program to: (i) use the Cognos Business Insight module (excluding the use of Advanced Mode) to assemble and consume dashboards; (ii) use the Cognos Analysis Studio module and functionality; and (iii) Licensee has all the rights and is subject to the requirements of the IBM Cognos Business Intelligence Enhanced Consumer license. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

8) IBM Cognos Business Intelligence Business Manager
For each use authorization acquired, Licensee may use the Program to: (i) use the Cognos Business Insight module (excluding the use of Advanced Mode) to assemble and consume dashboards; (ii) use the Cognos Metric Studio and Cognos Metric Designer modules and functionality; and (iii) Licensee has all the rights and is subject to the requirements of the IBM Cognos Business Intelligence Enhanced Consumer license. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

9) IBM Cognos Business Intelligence Enhanced Consumer
For each use authorization acquired, Licensee may use the Program to: (i) access the IBM Cognos Connection portal to select reports, view reports and set personal preferences (for languages, time zones etc.); (ii) run and schedule reports created by a licensed IBM Cognos Business Intelligence Studio module, interact with prompts, output the reports to other formats such as PDF and CSV, subscribe to a scheduled report, create and manage report folders and portal pages and use the IBM Cognos Connection portal to create and consume portal pages, including use of all of the portlet types provided with IBM Cognos Connection, personalize standard reports, and receive Cognos Event Studio notifications use the IBM Cognos for Microsoft Office module; (iii) use the Cognos Business Insight module (excluding the use of Advanced Mode) to assemble and consume dashboards; (iv) use the IBM Cognos Search module for full text searching and associated indexing for both dynamic and static content; (v) consume reports and/or report parts created by a licensed IBM Cognos Business Intelligence Studio module using the IBM Cognos Mashup Service API; and (vi) consume IBM Cognos Active Report outputs.

If Licensee acquires a use authorization to IBM Cognos Real-time Monitoring, Licensee may also use the Program to: (i) use the Cognos Business Insight module to assemble and/or consume Cognos Real-time Monitoring dashboard objects; and (ii) use the Cognos Real-time Monitoring Dashboard to assemble and/or consume Cognos Real-time Monitoring dashboard objects.

If Licensee acquires a use authorization to IBM Cognos Business Intelligence Enhanced Consumer, or a license that includes entitlement to IBM Cognos Business Intelligence Enhanced Consumer, using the Authorized User charge metric, subject to compliance with the requirements of subsection D(1)(vi) and (vii) above, Licensee has all the rights of the IBM Cognos Collaboration license. If Licensee acquires a use authorization to IBM Cognos Business Intelligence Enhanced Consumer, or a license that includes entitlement to IBM Cognos Business Intelligence Enhanced Consumer, using the Processor Value Unit or Processor charge metric, Licensee must separately acquire a license to IBM Cognos Collaboration in order to receive entitlement to IBM Cognos Collaboration.

Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

10) IBM Cognos Business Intelligence Consumer
For each use authorization acquired, Licensee may use the Program to: (i) access the IBM Cognos Connection portal to select reports, view reports and set personal preferences (for languages, time zones etc.); (ii) run and schedule reports created by a licensed IBM Cognos Business Intelligence Studio module, interact with prompts, output the reports to other formats such as PDF and CSV, subscribe to a scheduled report, create and manage report folders and portal pages and use the IBM Cognos Connection portal to create and consume portal pages, including use of all of the portlet types provided with Cognos Connection, personalize standard reports, and receive Cognos Event Studio notifications and use the IBM Cognos for Microsoft Office module; and (iii) consume reports and/or report parts created by a licensed Cognos Business Intelligence Studio module using the IBM Cognos Mashup Service API. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

11) IBM Cognos Business Intelligence Professional
For each user authorization acquired, Licensee may use the Program to: (i) use the Cognos Business Insight module, including but not limited to the Advanced Mode to assemble and/or consume a dashboard; (ii) use the Cognos Query Studio, Cognos Report Studio, Cognos Analysis Studio, Cognos Metric Studio, Cognos Metric Designer and Cognos Event Studio modules and functionality; (iii) use the IBM Cognos Transformer module and functionality on Windows platforms only; and (iv) Licensee has all the rights and is subject to the requirements of the IBM Cognos Business Intelligence Enhanced Consumer license. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality

12) IBM Cognos Business Intelligence Professional Author
For each user authorization acquired, Licensee may use the Program to (i) use the Cognos Business Insight module, including but not limited to the Advanced Mode to assemble and/or consume a dashboard; (ii) use the Cognos Query Studio and Cognos Report Studio modules and functionality; and (iii) Licensee has all the rights and is subject to the requirements of the IBM Cognos Business Intelligence Enhanced Consumer license. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

13) IBM Cognos Business Intelligence Recipient
For each use authorization acquired, Licensee may use the Program solely to: access the IBM Cognos Connection portal to select reports, view reports and set personal preferences (for languages, time zones etc.). Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

14) IBM Cognos Business Intelligence Remote Recipient
For each use authorization acquired, Licensee may use the Program to: access reports via email, wireless devices, paper or other media where such reports have been customized or otherwise personalized for such user's use and distributed directly to the user by a delivery mechanism outside of the IBM Cognos Connection portal. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.

15) IBM Cognos Business Intelligence Web Administrator
For each use authorization acquired, Licensee's use of the Program is limited solely to server, security, and reports scheduling administration functionalities of the IBM Cognos Business Intelligence Administrator Program. Licensee will configure the Program to ensure that those users are restricted from using any other Program functionality.
