Limited Use Rights for Other IBM Programs

If You acquired this Program as part of another IBM Program ("Principal Program") that lists this Program under "Other IBM Programs", You received this Program only in support of the Principal Program and Your rights to use this Program will be limited by the license of the Principal Program. Please contact Your IBM Sales Representative if You wish to acquire a separate license to this Program not limited by the Principal Program's license terms.

Other IBM Programs

The Program is licensed as a multi-product package and includes other products distributed with the Program ("Other IBM Programs"). You are authorized to install and use such Other IBM Programs only in association with Your licensed use of the Program under this Agreement. The Other IBM Programs may not be used for any other purpose. You are not authorized to transfer or remarket the Other IBM Programs. The terms of the Program's Agreement may replace or modify the license terms for the Other IBM Programs. In the event of conflict, the Program's terms supersede the terms of the license agreement which accompanies the Other IBM Programs. When Your right to use the Program expires or terminates, You must discontinue use, destroy or promptly return all copies of the Other IBM Programs to the party from whom You acquired it; if You downloaded the Other IBM Programs contact the party from whom You acquired it. If You wish to license the Other IBM Programs for any use beyond the limits set forth above, please contact an IBM Sales Representative or the party from whom You acquired it to obtain the appropriate licenses.

Excluded Components

The provisions of this paragraph do not apply to the extent they are held to be invalid or unenforceable under the law that governs this license. The components listed below are "Excluded Components." Notwithstanding any of the terms in the Agreement or any other agreement You may have with IBM:
(a) the third party suppliers of such Excluded Components ("Suppliers") provide the components WITHOUT WARRANTIES OF ANY KIND and, such Suppliers DISCLAIM ANY AND ALL EXPRESS AND IMPLIED WARRANTIES AND CONDITIONS INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, NON-INFRINGEMENT OR INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE EXCLUDED COMPONENTS;
(b) in no event are the Suppliers liable for any direct, indirect, incidental, special, exemplary, punitive or consequential damages, including but not limited to lost data, lost savings, and lost profits, with respect to the Excluded Components; and,
(c) IBM and the Suppliers are not liable to You, and will not defend, indemnify, or hold You harmless for any claims arising from or related to the Excluded Components.

Notwithstanding these exclusions, in Germany and Austria, IBM's warranty and liability for the Excluded Components is governed only by the respective terms applicable for Germany and Austria in the IBM license agreements.

Notices and important information that IBM is required to provide to You with respect to the Excluded Components, including instructions for obtaining source code for certain Excluded Components, may be found in the NOTICES file(s) that accompanies the Program.

Your use of the Excluded Components is governed by the terms of the Agreement and not by any terms that may be contained in the NOTICES file(s). The terms contained in the Agreement are offered by IBM and not by any other party. Future Program updates or fixpacks may contain additional Excluded Components. Such additional Excluded Components, and related notices and information, if any, will be listed in another NOTICES file that accompanies the Program update or fixpack.

Separately Licensed Code

The provisions of this paragraph do not apply to the extent they are held to be invalid or unenforceable under the law that governs this license. Each of the components listed below is considered "Separately Licensed Code". IBM Separately Licensed Code is licensed to You under the terms of the applicable third party license agreement(s) set forth in the NON_IBM_LICENSE file(s) that accompanies the Program. Notwithstanding any of the terms in the Agreement, or any other agreement You may have with IBM, the terms of such third party license agreement(s) governs Your use of all Separately Licensed Code unless otherwise noted below.

Future Program updates or fixpacks may contain additional Separately Licensed Code. Such additional Separately Licensed Code and related licenses are listed in another NON_IBM_LICENSE file that accompanies the Program update or fixpack. You acknowledge that You have read and agree to the license agreements contained in the NON_IBM_LICENSE file(s). If You do not agree to the terms of these third party license agreements, You may not use the Separately Licensed Code.

For Programs acquired under the International Program License Agreement ("IPLA") or International Program License Agreement for Non Warranted Program ("ILAN") and You are the original licensee of the Program, if You do not agree with the third party license agreements, You may return the Program in accordance with the terms of, and within the specified time frames stated in, the "Money-back Guarantee" section of the IPLA or ILAN IBM Agreement.

(d) IBM is not liable for any direct, indirect, incidental, special, exemplary, punitive or consequential damages including, but not limited to, lost data, lost savings, and lost profits, with respect to the Separately Licensed Code.

Notwithstanding these exclusions, in Germany and Austria, IBM's warranty and liability for the Separately Licensed Code is governed only by the respective terms applicable for Germany and Austria in IBM license agreements.

Specified Operating Environment

The Program's specifications and specified operating environment information may be found in documentation accompanying the Program, if available, such as a read-me file, or other information published by IBM, such as an announcement letter. You agree that such documentation and other Program content may be supplied only in the English language.

Program-unique Terms

Conflicting Agreement Terms: The terms of this Agreement including this License Information replace any license terms and conditions that might accompany or be presented for acceptance to You upon install of the Program. In case of any conflict, these terms shall govern.

Definitions

Client Device

A Client Device is a computing device that requests the execution of a set of commands, procedures, or applications from another computer system that is typically referred to as a server. Multiple Client Devices may share access to a common server. A Client Device generally has some processing capability or is programmable to allow a user to do work. Examples include, but are not limited to, notebook computers, desktop computers, deskside computers, technical workstations, appliances, cell phones, blackberry devices, automated teller machines (ATMs), point-of-sale terminals, tills and cash registers, and kiosks. A Proof of Entitlement (PoE) must be obtained for each Client Device accessing the program in any manner.

Server

A Server is a computer system that executes requested procedures, commands, or applications to one or more user and/or Client Devices. A Proof of Entitlement (PoE) must be obtained for each Server regardless of the number of processor cores and partitions in the Server on which the Program runs or for each server managed by the Program. Where 'blade' technology is employed, each 'blade' is considered a separate Server.

Hot/Active Standby

In a Hot/Active Standby configuration, the Program is operational on the Primary Server and each Standby/Active Server to service user transactions or queries. Because each of the Hot Standby/Active Servers is used to operate the Program for active read and/or write transactions or queries before and after a failure, the Program must be fully licensed on all active Servers.

You must be licensed under the Processor Value Unit (PVU), Concurrent Session, or Authorized User charge metric. When in Hot/Active Standby under the PVU metric, You must license the Program for the number of processor cores attached or available to the Hot/Active Standby Server(s). For example, consider an environment with two Servers, one Primary Server with four hundred (400) Processor Value Units (PVU) and one Hot/Active Standby Server with two hundred (200) PVUs. This environment must be licensed for six hundred (600) PVUs (four hundred (400) PVUs for the Primary Server and two hundred (200) PVUs for the Hot/Active Standby Server).

When in Hot/Active Standby under the Concurrent Session or Authorized User metric, You must acquire the number of Concurrent Session or Authorized User entitlements for each Hot/Active Standby Server as you would if the Hot/Active Standby Server were a Primary Server, including meeting the minimum required per Server. See the sections on Charge Metrics under the Level of Use portion of this LI below.

For example:
a) consider an environment with two Servers, one Primary with one hundred (100) Concurrent Sessions on Informix Warehouse Feature for Enterprise Edition, and one Hot/Active Standby Server with fifty (50) Concurrent Sessions, This environment must be licensed for total of one hundred fifty (150) Concurrent Sessions (100 on the Primary and 50 on the Hot/Active Standby) on the Enterprise Edition.

b) consider an environment with two Servers, one Primary with one hundred fifty (150) Authorized Users on the Informix Warehouse Feature for Enterprise Edition, and one Hot/Active Standby Server with twenty (20) Authorized Users. This environment must be licensed for total of one hundred seventy-five (175) Authorized Users (150 on the Primary and 25 (the minimum required) on the Hot/Active Standby) on the Enterprise Edition.

Idle Standby

In an Idle Standby configuration, Idle Standby Server(s) have the Program installed, however, they do not have the Program operational to service active read and/or write transactions or query workloads. A Server is considered "idle" if it is used exclusively for administrative actions that assist in failover scenarios such as having a database in roll forward pending state to support log shipping, or in making a copy of an database and then performing a database backup of this copy on another Server, or in keeping a standby database synchronized using the High-availability Data Replication (HDR) component. A Server is also considered "idle" if it is used exclusively in support of log shipping for database restore using the Continuous Log Restore function.

You may be licensed under the Processor Value Unit, Concurrent Session, or Authorized User charge metric. When a Program is used in Idle Standby, You must acquire the number of license entitlements for each copy of the Program on each Idle Standby Server as indicated below, using the same charge metric as used for the Program on the corresponding Primary Server.

(1) one hundred (100) PVUs for Informix Warehouse Feature for Workgroup Edition, or Informix Warehouse Feature for Enterprise Edition
(2) five (5) Concurrent Sessions or five (5) Authorized Users for the Informix Warehouse Feature for Workgroup Edition
(3) ten (10) Concurrent Sessions or twenty-five (25) Authorized Users for the Informix Warehouse Feature for Enterprise Edition

For example:

a) when Processor Value Unit is the applicable charge metric, consider an environment with two Servers, one Primary Server with four hundred (400) Processor Value Units (PVU) and one Idle Standby Server with two hundred (200) PVUs. This environment must be licensed for five hundred (500) PVUs (four hundred (400) PVUs must be acquired for the Primary Server and one hundred (100) PVUs must be acquired for the Idle Standby Server).

b) when Concurrent Session or Authorized User is the applicable charge metric for the Workgroup Edition, consider an environment with two Servers, one Primary with one hundred (100) Concurrent Sessions or Authorized Users, and one Idle Standby Server. The Idle Standby Server will require entitlements to either five (5) Concurrent Sessions or five (5) Authorized Users, as applicable. This environment must be licensed for total of one hundred five (105) Concurrent Sessions or Authorized Users on the Workgroup Edition, and the Program on the Primary Server may not exceed 100 Concurrent Sessions or Authorized Users without acquiring additional entitlements.

Cold Standby


In a Cold Standby configuration, Cold Standby Server(s) have the Program installed, however they do not have the Program started or operational. The Program is installed for backup purposes only on the Cold Standby Server(s).

You may be licensed under the Processor Value Unit, Concurrent Session, or Authorized User charge metric. When in Cold Standby, there is no charge for the Cold Standby Server(s). For example, when Processor Value Unit is the applicable charge metric, consider an environment with two Servers, one Primary Server with four hundred (400) Processor Value Units (PVU) and one Cold Standby Server with two hundred (200) PVUs. This environment must be licensed for four hundred (400) PVUs for the Primary Server; no PVUs are required on the Cold Standby Server.

When Concurrent Session or Authorized User is the applicable charge metric on the Workgroup Edition, consider an environment with two Servers, one Primary with ten (10) Concurrent Sessions or Authorized Users, and one Cold Standby Server, The Cold Standby Server does not require any proof of entitlement (PoE) for the purpose of maintaining a backup copy of the Program in cold standby, This environment must be licensed for total of ten (10) Concurrent Sessions or Authorized Users on the Workgroup Edition.

Level of Use

Your use of a Program may not exceed the level defined by the number of use authorizations You have acquired, as evidenced in Your Proof of Entitlement (PoE). Each edition of the Program is available for licensing in accordance with one or more of the following levels of use.

The Informix Warehouse Feature Program may be licensed as a Program separate from the Informix Dynamic Server (IDS) V11.50 Program. However, in order to use the Warehouse Feature Program, You must acquire (or have acquired) separately PoE entitlements for the IDS V11.50 Server. The IDS V11.50 Server entitlements you acquire (or have already acquired) must be for the same edition as the Informix Warehouse Feature edition You acquire, and must be licensed under the same charge metric. For example, You may acquire entitlements to the Informix Warehouse Feature for Enterprise Edition on Processor Value Units (PVUs) if they are to be used with the IDS V11.50 Server Enterprise Edition licensed on a PVU basis; and You may not acquire and use entitlements to the Informix Warehouse Feature for Workgroup Edition with the IDS V11.50 Server Enterprise Edition. You may not acquire more Informix Warehouse Feature PoE entitlements than the number of entitlements you acquire (or have acquired) to the IDS V11.50 Server. You may acquire fewer PoE entitlements to the Informix Warehouse Feature than you acquire ( or have acquired) for the IDS V11.50 Server, provided that you acquire at least the minimum entitlements as specified herein.

1) Charge Metrics

The IBM Informix Warehouse Feature for Enterprise Edition V11.50 is available for licensing on an Authorized User, Concurrent Session, or Processor Value Unit charge metrics basis, as specified below. The IBM Informix Warehouse Feature for Workgroup Edition V11.50 is available for licensing on an Authorized User, Concurrent Session, Processor Value Units, or Limited Use Socket charge metric basis, as specified below.

Consult Your Proof of Entitlement (PoE) to determine which charge metric terms apply to the Program You have licensed. The charge metric is specific to the part number that has been purchased.

1.1) Authorized User - If You acquire a Program based on this Charge Metric, then the terms of this Section apply.

You must acquire a separate Authorized User license entitlement for each Authorized User of the Program installed on each individual Server as described above.

Authorized User: An Authorized User is one and only one individual with a specific identity within or outside Your enterprise.. A PoE is required for each Authorized User accessing the Program or any Program component on a single Server either directly or indirectly through any means. An example of "indirect" access would be through a multiplexing program, Client Device, or application server. For a single Authorized User to access the Program on more than one Server, additional PoEs must be acquired and each PoE must be based on the charge metric associated with the Program being accessed.

The Program can be accessed by multiple Authorized Users provided that an Authorized User license entitlement has been obtained for each individual. An Authorized User's ID is unique to the uniquely identified individual and cannot be shared with or used by others or transferred. A single Authorized User ID, however, is entitled to establish one or more connections to the Program (but only on a single Server for each entitlement), each for use solely by the identified Authorized User, and only the single Authorized User entitlement is required. If an Authorized User makes connections to other Informix Warehouse data servers (or to this Program residing on a separate Server), additional PoE(s) must be acquired for those connections using the charge metric for those other Informix Warehouse data servers or for the other Program.

Each separate individual that uses a connection, directly or indirectly, made to this Program through the Intranet (connections from within Your Enterprise) or through the Internet (connection from outside Your Enterprise) must be counted as a separate Authorized User and a separate entitlement must be acquired for such Authorized User.

The following minimum Authorized User requirement applies to licenses to the Informix Warehouse Feature for Enterprise Edition V11.50:

The Program must be licensed for, and PoE acquired for, the greater of (a) at least ten (10) Authorized Users per Server on which the Program is installed or (b) the total number of Authorized Users accessing the Program.

The following minimum Authorized User requirement applies to licenses to the Informix Warehouse Feature for Workgroup Edition V11.50:

The Program must be licensed for, and PoE acquired for, the greater of (a) at least ten (10) Authorized Users per Server on which You install the Program or (b) the total number of Authorized Users accessing the Program.

1.2) Concurrent Session - If You acquire a Program based on this Charge Metric, then the terms of this Section apply.
