Tivoli Systems Announces Retirement of Chairman Frank Moss

Promotes Jan Lindelow to Chairman, CEO and President

AUSTIN, Texas - 07 Jul 1998: -Tivoli Systems Inc., the world's leader in network, systems and applications management solutions, today announced the retirement of Tivoli Chairman Frank Moss. Concurrently, the company announced that CEO and President Jan Lindelow will assume the additional duties of Chairman.

Moss will be forming a software ventures firm, Strategic Software Ventures LLC, in the Boston area, as well as continuing to serve as a consultant to Tivoli.

``Frank Moss has played an instrumental role in Tivoli's growth, and he will continue to contribute to our growth in a consulting role,'' said John M. Thompson, IBM senior vice president and software group executive. ``We wish him the very best in his new pursuits.''

Moss, 49, joined Tivoli as CEO and president in 1991, serving in that role until November 1997, when he was named chairman. During his tenure, the company completed its successful IPO and one year later merged with IBM. After the merger, Moss additionally served from 1996 to 1997 as vice president and general manager of IBM's worldwide systems management business, a position Lindelow holds today.

Lindelow, 52, who reports to Thompson, joined Tivoli in June, 1997, as its president and chief operating officer and was promoted to CEO and president in November 1997. Prior to joining Tivoli, he was president and chief operating officer of Symbol Technologies. Previously, he served in a number of senior executive positions with the international engineering giant, Asea Brown Boveri, and was president of worldwide sales and services for Unisys Corporation/Sperry Computer Systems, where he spearheaded the company's launch into UNIX and other open markets in the mid-1980s.
