Two license agreements are presented below.

1. IBM International License Agreement for Evaluation of Programs
2. IBM International Program License Agreement

If Licensee is obtaining the Program for purposes of productive use (other than evaluation, testing, trial "try or buy," or demonstration): By clicking on the "Accept" button below, Licensee accepts the IBM International Program License Agreement, without modification.

If Licensee is obtaining the Program for the purpose of evaluation, testing, trial "try or buy," or demonstration (collectively, an "Evaluation"): By clicking on the "Accept" button below, Licensee accepts both (i) the IBM International License Agreement for Evaluation of Programs (the "Evaluation License"), without modification; and (ii) the IBM International Program License Agreement (the "IPLA"), without modification.

The Evaluation License will apply during the term of Licensee's Evaluation.

The IPLA will automatically apply if Licensee elects to retain the Program after the Evaluation (or obtain additional copies of the Program for use after the Evaluation) by entering into a procurement agreement (e.g., the IBM International Passport Advantage or the IBM Passport Advantage Express agreements).

The Evaluation License and the IPLA are not in effect concurrently; neither modifies the other; and each is independent of the other.

The complete text of each of these two license agreements follow.



LICENSE INFORMATION

The Programs listed below are licensed under the following License Information terms and conditions in addition to the Program license terms previously agreed to by Client and IBM. If Client does not have previously agreed to license terms in effect for the Program, the International License Agreement for Evaluation of Programs (Z125-5543-05) applies.

IBM Db2 Standard Edition 11.5 (Evaluation)

The following standard terms apply to Licensee's use of the Program.

Evaluation Period

The evaluation period begins on the date that Licensee agrees to the terms of this Agreement and ends after 90 days.

Prohibited Uses

Licensee may not use or authorize others to use the Program if failure of the Program could lead to death, bodily injury, or property or environmental damage.

Supporting Programs

Licensee is authorized to install and use the Supporting Programs identified below. Licensee is authorized to install and use such Supporting Programs only to support Licensee's use of the Principal Program under this Agreement. The phrase "to support Licensee's use" would only include those uses that are necessary or otherwise directly related to a licensed use of the Principal Program or another Supporting Program. The Supporting Programs may not be used for any other purpose. A Supporting Program may be accompanied by license terms, and those terms, if any, apply to Licensee's use of that Supporting Program. In the event of conflict, the terms in this License Information document supersede the Supporting Program's terms. Licensee must obtain sufficient entitlements to the Program, as a whole, to cover Licensee's installation and use of all of the Supporting Programs, unless separate entitlements are provided within this License Information document. For example, if this Program were licensed on a PVU (Processor Value Unit) basis and Licensee were to install the Principal Program or a Supporting Program on a 100 PVU machine (physical or virtual) and another Supporting Program on a second 100 PVU machine, Licensee would be required to obtain 200 PVU entitlements to the Program.

Technology Preview Code

Technology Preview Code (TPC) may be included or distributed with the Program or updates to it but are not part of the Program. TPC is licensed under the same terms as the Program, except as provided below. TPC will be identified as such in the Notices File (or in an updated Notices File accompanying the updates). Some or all of the TPC may not be made generally available by IBM as or in a product. Licensee is permitted to use TPC only for internal use for evaluation purposes and not for use in a production environment. The Notices File may limit this evaluation use to an evaluation period. If so, at the end of such evaluation period Licensee must cease using and uninstall the TPC. IBM provides the TPC without obligation of support and "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTY OF TITLE, NON-INFRINGEMENT OR NON-INTERFERENCE AND ANY IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Licensee may not transfer TPC to another party except as a transfer accompanying the Program. TPC may contain a disabling device that will prevent it from being used after the evaluation period ends. Licensee will not tamper with this disabling device or the TPC. Licensee should take precautions to avoid any loss of data that might result when the TPC can no longer be used.

Licensee assigns to IBM all right, title, and interest (including ownership of copyright) in any data, suggestions, or written materials that 1) are related to the Technology Preview Code and 2) Licensee provides to IBM. Upon IBM's request, Licensee will sign additional documents necessary to assign such rights. In addition to the foregoing, Licensee grants to IBM a non-exclusive, irrevocable, unrestricted, worldwide and paid-up right and license to a) include in any product or service any idea, know-how, concept, technique, invention, discovery or improvement, whether or not patentable, that Licensee provides to IBM related to the Technology Preview Code b) use, manufacture and market any such product or service, and c) allow others to do any of the foregoing.

Licensee agrees to treat the following as "IBM Confidential Information" regardless of whether they contain restrictive markings indicating the confidential nature thereof or have been identified as IBM Confidential Information prior to disclosure: (a) the Technology Preview Code, (b) any information provided to Licensee by IBM with regard to the Technology Preview Code including, but not limited to, related materials such as specifications, plans, trends, strategies, benchmarks, performance characteristics, comparisons and other assessments of the Technology Preview Code, (c) any information related to Licensee's access to the Technology Preview Code including, but not limited to, passwords or other access codes, and (d) all data, feedback, suggestions and/or written materials that Licensee provides to IBM related to the Technology Preview Code. Licensee is authorized to use the IBM Confidential Information for the purpose for which it was disclosed or otherwise for the benefit of IBM. Notwithstanding any other terms of this Agreement, Licensee agrees not to communicate, publish, disseminate or otherwise discuss with or disclose to any third party the IBM Confidential Information (including but not limited to articles, papers or other written materials pertaining to the IBM Confidential Information) prior to IBM making such IBM Confidential Information publicly available without a non-disclosure obligation. Notwithstanding the above, Licensee does not have a confidentiality obligation to Technology Preview Code identified in the Notices File as non-confidential.

Licensee agrees to use the same care and discretion to avoid disclosure of the IBM Confidential Information as Licensee uses with Licensee's own similar information that Licensee does not wish to disclose, but in no event will such degree of care be less than reasonable care. Licensee's obligations with respect to the IBM Confidential Information will continue for a period of two years from Licensee's receipt of the IBM Confidential Information. Licensee agrees not to disclose to IBM any information that is considered confidential or proprietary to Licensee or any third party except under a signed, separate, written confidential agreement.

Notwithstanding the existence of any confidentiality or other agreement Licensee may have with IBM pertaining to confidential information, the preceding paragraphs will govern the treatment of the IBM Confidential Information.



LICENSE INFORMATION

The Programs listed below are licensed under the following License Information terms and conditions in addition to the Program license terms previously agreed to by Client and IBM. If Client does not have previously agreed to license terms in effect for the Program, the International Program License Agreement (Z125-3301-14) applies.

The following standard terms apply to Licensee's use of the Program.

Limited use right

As described in the International Program License Agreement ("IPLA") and this License Information, IBM grants Licensee a limited right to use the Program. This right is limited to the level of Authorized Use, such as a Processor Value Unit ("PVU"), a Resource Value Unit ("RVU"), a Value Unit ("VU"), or other specified level of use, paid for by Licensee as evidenced in the Proof of Entitlement. Licensee's use may also be limited to a specified machine, or only as a Supporting Program, or subject to other restrictions. As Licensee has not paid for all of the economic value of the Program, no other use is permitted without the payment of additional fees. In addition, Licensee is not authorized to use the Program to provide commercial IT services to any third party, to provide commercial hosting or timesharing, or to sublicense, rent, or lease the Program unless expressly provided for in the applicable agreements under which Licensee obtains authorizations to use the Program. Additional rights may be available to Licensee subject to the payment of additional fees or under different or supplementary terms. IBM reserves the right to determine whether to make such additional rights available to Licensee.

Non-Production Limitation

If the Program is designated as "Non-Production", the Program can only be deployed as part of the Licensee's internal development and test environment for internal non-production activities, including but not limited to testing, performance tuning, fault diagnosis, internal benchmarking, staging, quality assurance activity and/or developing internally used additions or extensions to the Program using published application programming interfaces. Licensee is not authorized to use any part of the Program for any other purposes without acquiring the appropriate production entitlements.

Components Not Used for Establishing Required Entitlements

When determining the number of entitlements required for Licensee's installation or use of the Program, the installation or use of the following Program components are not taken into consideration. In other words, Licensee may install and use the following Program components, under the license terms, but these components are not used to determine the number of entitlements required for the Program.

Redistributables

If the Program includes components that are Redistributable, they will be identified in the REDIST file that accompanies the Program. In addition to the license rights granted in the Agreement, Licensee may distribute the Redistributables subject to the following terms:
1) Redistribution must be in object code form only and must conform to all directions, instruction and specifications in the Program's accompanying REDIST or documentation;
2) If the Program's accompanying documentation expressly allows Licensee to modify the Redistributables, such modification must conform to all directions, instruction and specifications in that documentation and these modifications, if any, must be treated as Redistributables;
3) Redistributables may be distributed only as part of Licensee's application that was developed using the Program ("Licensee's Application") and only to support Licensee's customers in connection with their use of Licensee's Application. Licensee's Application must constitute significant value add such that the Redistributables are not a substantial motivation for the acquisition by end users of Licensee's software product;
4) If the Redistributables include a Java Runtime Environment, Licensee must also include other non-Java Redistributables with Licensee's Application, unless the Application is designed to run only on general computer devices (for example, laptops, desktops and servers) and not on handheld or other pervasive devices (i.e., devices that contain a microprocessor but do not have computing as their primary purpose);
5) Licensee may not remove any copyright or notice files contained in the Redistributables;
6) Licensee must hold IBM, its suppliers or distributors harmless from and against any claim arising out of the use or distribution of Licensee's Application;
7) Licensee may not use the same path name as the original Redistributable files/modules;
8) Licensee may not use IBM's, its suppliers or distributors names or trademarks in connection with the marketing of Licensee's Application without IBM's or that supplier's or distributor's prior written consent;
9) IBM, its suppliers and distributors provide the Redistributables and related documentation without obligation of support and "AS IS", WITH NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF TITLE, NON-INFRINGEMENT OR NON-INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;
10) Licensee is responsible for all technical assistance for Licensee's Application and any modifications to the Redistributables; and
11) Licensee's license agreement with the end user of Licensee's Application must notify the end user that the Redistributables or their modifications may not be i) used for any purpose other than to enable Licensee's Application, ii) copied (except for backup purposes), iii) further distributed or transferred without Licensee's Application or iv) reverse assembled, reverse compiled, or otherwise translated except as specifically permitted by law and without the possibility of a contractual waiver. Furthermore, Licensee's license agreement must be at least as protective of IBM as the terms of this Agreement.

The following units of measure may apply to Licensee's use of the Program.

Authorized User

Authorized User is a unit of measure by which the Program can be licensed. An Authorized User is a unique person who is given access to the Program. The Program may be installed on any number of computers or servers and each Authorized User may have simultaneous access to any number of instances of the Program at one time. Licensee must obtain separate, dedicated entitlements for each Authorized User given access to the Program in any manner directly or indirectly (for example: via a multiplexing program, device, or application server) through any means. An entitlement for an Authorized User is unique to that Authorized User and may not be shared, nor may it be reassigned other than for the permanent transfer of the Authorized User entitlement to another person.

Virtual Processor Core

Virtual Processor Core is a unit of measure by which the Program can be licensed. A Server is a physical computer that is comprised of processing units, memory, and input/output capabilities and that executes requested procedures, commands, or applications for one or more users or client devices. Where racks, blade enclosures, or other similar equipment is being employed, each separable physical device (for example, a blade or a rack-mounted device) that has the required components is considered itself a separate Server. A Virtual Server is either a virtual computer created by partitioning the resources available to a physical Server or an unpartitioned physical Server. A Processor Core is a functional unit within a computing device that interprets and executes instructions. A Processor Core consists of at least an instruction control unit and one or more arithmetic or logic unit. A Virtual Processor Core is a Processor Core on a Virtual Server created by partitioning the resources available to a physical Server or an unpartitioned physical Server. Licensee must obtain entitlement for each Virtual Processor Core made available to the Program.

For each physical Server, Licensee must have sufficient entitlements for the lesser of 1) the sum of all available Virtual Processor Cores on all Virtual Servers or 2) all available Processor Cores on the physical Server.

In addition to the above, the following terms apply to Licensee's use of the Program.

1. Prohibited Components

Notwithstanding any provision in the Agreement, License is not authorized to use any of the following components or functions of the Program:

- If licensing under the Terabyte metric: pureScale clustering technology
- Accessing federated data in IBM Db2 for i or IBM Db2 for z/OS data servers outside of the SQL Warehousing Tool unless Licensee has separately acquired sufficient entitlement to IBM Db2 Connect
- SQL Replication with non-Db2 databases ("Db2 databases" includes databases hosted on "IBM Db2 Hosted"). Use of SQL Replication for any other purpose, source or target besides homogeneous uses (Db2 LUW to Db2 LUW replication) for example to source or target Db2 for z/OS, Db2 iSeries, any Db2 Warehouse edition, and any appliance that embeds Db2 Warehouse is not allowed
- Q Replication Functionality
- Change Data Capture functionality, except for supporting shadow table functionality within a single Db2 instance to replicate from row-organized tables into column-organized tables

2. High Availability/Failover Configurations

The following describes Licensee's license entitlement requirements for secondary or standby servers used for high availability/failover configurations in support of primary servers on which the Program is installed. The following entitlement requirements are cumulative and are in addition to the entitlements required for the primary servers.

2.1 Hot Standby

"Hot Standby" means that the Program is operational on the secondary/standby server(s) to service user transactions or queries. All Hot Standby servers must be fully licensed under the same charge metric as the primary servers.

2.2 Idle/Warm Standby

"Idle/Warm Standby" means that the Program is installed but is not operational to service user transactions or query workloads, and is used exclusively for administrative actions that assist in failover scenarios, such as: having a database in rollforward pending state to support log shipping; or making a flash copy of a Db2 database and performing a database backup of this copy on another server; or keeping a standby database synchronized using the HADR component of the Program. Idle/Warm Standby servers must be licensed as follows:

- If the primary server(s) are licensed under the Authorized User metric, then on the secondary/standby server(s) the Program must be licensed for 25 Authorized User per virtual server or per unpartitioned physical server.
- If the primary server(s) are licensed under the Virtual Processor Core metric, then on the secondary/standby server(s) the Program must be licensed for 1 Virtual Processor Core.
- If the Program is used on a cluster of servers configured to work together as an Idle/Warm Standby cluster using either database partitioning or pureScale clustering technology, then the servers in that cluster need only be licensed collectively for 1 Virtual Processor Core.
- If the Program is used on a cluster of servers configured to work together using pureScale clustering technology in which one or more servers in the cluster are used as a primary server and one or more servers within the same cluster are used as Idle/Warm Standby server(s) then the following rules apply:
(a) the cluster may be configured with one or more primary servers, but a maximum of one server acting as an Idle/Warm Standby server;
(b) the server used as Idle/Warm Standby server need only be licensed for 1 Virtual Processor Core.
(c) Notwithstanding the definition of "Idle/Warm Standby" above, the Idle/Warm Standby server in this configuration may be used for the purposes of running the following Db2 utilities and administration activities:
- Backup
- Restore
- Runstats
- Reorg
- Monitoring, including Db2 Explain and any diagnostic or problem determination activities
- Usage of Data Definition Language
- Database Manager configuration
- Database configuration
- log based capture utilities for the purpose of data capture.
- security administration and setup

2.3 Cold Standby

"Cold Standby" means that the Program is installed but the Db2 data server is not running. A server is considered a Cold Standby server if Licensee must run the command "db2start" to instantiate the Db2 data server. No additional license entitlements are required for Cold Standby servers.

2.4 Chargeable Features

If Licensee has license entitlements to the following separately chargeable features, Licensee may use these features at no additional charge on an Idle/Warm Standby and/or Cold Standby server:
