The Program is licensed as a multi-product package and includes other products distributed with the Program ("Supporting Programs"). Licensee is authorized to install and use such Supporting Programs only in association with Licensee's licensed use of the Program under this Agreement. The Supporting Programs may not be used for any other purpose. Licensee is not authorized to transfer or remarket the Supporting Programs. 2) Licensee must distribute the Redistributable only as part of Licensee's application that was developed using the Program and only to support Licensee's customers in connection with their use of Licensee's application.
3) Licensee will indemnify IBM and its suppliers or distributors from and against any third party claim arising out of the use or distribution of Licensee's application.

Program-unique Terms

The term "Program" refers to "IBM Lotus Domino" and the software programs that are provided with IBM Lotus Domino, and it is used below to refer to the specific software program for which the specific paragraph is entitled. By way of example, the "Program" in the paragraph entitled "IBM Lotus Domino Messaging Server" refers to IBM Lotus Domino for Messaging Server, and the "Program" in the paragraph entitled "IBM Lotus Domino Enterprise Server" refers to IBM Lotus Domino for Enterprise Server. Components and features of the Program must be used solely and exclusively in association with the Program. Any other use may require additional Proof of Entitlement ("PoE").

As used in this document, "Licensee's Enterprise" shall mean Licensee's employees and independent contractors, and those of a Related Company (collectively, "Licensee's company"). For purposes herein, a "Related Company" is any corporation, company, or other entity that: (i) is Controlled by Licensee; (ii) Controls Licensee; or (iii) is under common Control with Licensee. For this purpose, "Control" means that more than fifty percent (50%) of the controlled entity's shares or ownership interest representing the right to make decisions for such entity are owned or controlled, directly or indirectly by the controlling entity. An entity is considered to be a Related Company only so long as such Control exists.

An Authorized User is a unit of measure by which the Program can be licensed. An Authorized User is a unique individual inside or outside of Licensee's Enterprise with a specific identity that is validated when accessing a IBM Lotus Domino server. The Authorized User's unique identity could be defined by his or her Notes ID/password ("PW") combination, his or her IBM Lotus Domino HTTP Name/PW combination, or any other third party authentication source that defines the Authorized User's unique identity. The Program may be installed on any number of computers or servers, but Licensee must obtain PoE for every user authorized to access the Program. Licensee must have entitlements for each Authorized User accessing the Program in any manner directly or indirectly (for example: via a multiplexing program, device, or application server) through any means. Entitlements for Authorized Users may not be shared, nor may they be reassigned other than for the permanent transfer of the Authorized User entitlement to another individual.

Notwithstanding the foregoing, Licensee does not need to acquire a PoE for anyone whose sole and exclusive function is to administer any IBM Lotus Domino server.

As used in this document, "Community" is a shared directory, or set of directories, that lists the authorized users and groups within Licensee's enterprise on one or more IBM Lotus Sametime servers that each have access to the shared directory or set of directories.

IBM Tivoli Directory Integrator is provided with the Program. Licensee is authorized to install and use IBM Tivoli Directory Integrator to synchronize data between the Program and other data sources. Licensee is authorized to install and use IBM Tivoli Directory Integrator components on the same machine or on a machine separate from the machine on which you have installed the other Program components. Licensee's use of the IBM Tivoli Directory Integrator components are subject to the terms and conditions of the license agreement which accompany the IBM Tivoli Directory Integrator components except as limited in this license.

IBM DB2 Restricted Enterprise Edition is provided with the Program to be used solely and exclusively in conjunction with the Program equal to the number of copies of the Program and subject to the following restrictions:

DB2 Restricted Enterprise Edition includes portions of DB2 Enterprise Server Edition. Licensee is authorized to install and use one copy of DB2 Restricted Enterprise Edition only in association with Licensee's use of the Program for the storage and management of data used and generated by the Program, and not for other data management purposes. DB2 Restricted Enterprise Edition is to be used only by the internal components of the Program. For example, DB2 Restricted Enterprise Edition can be used as a repository for configuration information generated by the Program and cannot be used to build or extend custom applications that store business data; this license does not permit inbound connections to DB2 Enterprise Edition from other applications for queries or report generation. Licensee may not install any separately acquired DB2 features for DB2 unless Licensee has acquired a separate valid PoE to DB2.

Licensee may distribute the DXL Schema Redistributables in the original file format as provided with the Program.
