LICENSE INFORMATION

The Programs listed below are licensed under the following terms and conditions in addition to those of the International License Agreement for Evaluation of Programs.

Evaluation Period

The evaluation period begins on the date that You agree to the terms of this Agreement and ends after 90 days.

Limited Use Rights for Other IBM Programs

If You acquired this Program as part of another IBM Program ("Principal Program") that lists this Program under "Other IBM Programs", You received this Program only in support of the Principal Program and Your rights to use this Program will be limited by the license of the Principal Program. Please contact Your IBM Sales Representative if You wish to acquire a separate license to this Program not limited by the Principal Program's license terms.

Other IBM Programs

The Program is licensed as a multi-product package and includes other products distributed with the Program ("Other IBM Programs"). You are authorized to install and use such Other IBM Programs only in association with Your licensed use of the Program under this Agreement. The Other IBM Programs may not be used for any other purpose. You are not authorized to transfer or remarket the Other IBM Programs. The terms of the Program's Agreement may replace or modify the license terms for the Other IBM Programs. In the event of conflict, the Program's terms supersede the terms of the license agreement which accompanies the Other IBM Programs. When Your right to use the Program expires or terminates, You must discontinue use, destroy or promptly return all copies of the Other IBM Programs to the party from whom You acquired it; if You downloaded the Other IBM Programs contact the party from whom You acquired it. If You wish to license the Other IBM Programs for any use beyond the limits set forth above, please contact an IBM Sales Representative or the party from whom You acquired it to obtain the appropriate licenses.

Excluded Components

The provisions of this paragraph do not apply to the extent they are held to be invalid or unenforceable under the law that governs this license. The components listed below are "Excluded Components." Notwithstanding any of the terms in the Agreement or any other agreement You may have with IBM:
(a) the third party suppliers of such Excluded Components ("Suppliers") provide the components WITHOUT WARRANTIES OF ANY KIND and, such Suppliers DISCLAIM ANY AND ALL EXPRESS AND IMPLIED WARRANTIES AND CONDITIONS INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, NON-INFRINGEMENT OR INTERFERENCE AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE EXCLUDED COMPONENTS;
(b) in no event are the Suppliers liable for any direct, indirect, incidental, special, exemplary, punitive or consequential damages, including but not limited to lost data, lost savings, and lost profits, with respect to the Excluded Components; and,
(c) IBM and the Suppliers are not liable to You, and will not defend, indemnify, or hold You harmless for any claims arising from or related to the Excluded Components.

Notwithstanding these exclusions, in Germany and Austria, IBM's warranty and liability for the Excluded Components is governed only by the respective terms applicable for Germany and Austria in the IBM license agreements.

Notices and important information that IBM is required to provide to You with respect to the Excluded Components, including instructions for obtaining source code for certain Excluded Components, may be found in the NOTICES file(s) that accompanies the Program.

Your use of the Excluded Components is governed by the terms of the Agreement and not by any terms that may be contained in the NOTICES file(s). The terms contained in the Agreement are offered by IBM and not by any other party. Future Program updates or fixpacks may contain additional Excluded Components. Such additional Excluded Components, and related notices and information, if any, will be listed in another NOTICES file that accompanies the Program update or fixpack.

Program-unique Terms

1) License Key Registration

Before using this Program, You agree to register the appropriate license keys using the included DB2 License Center component. The license keys are included with Your Proof of Entitlement (PoE). License keys are required to authorize use of the base data server, as well as any separately purchasable features.

2) Charge Metrics

Charges for this Program are based on one of the following metrics. Consult Your PoE to determine which usage terms apply to this Program.

2.1) Authorized User

Charges for the Program may be based on the Authorized User charge metric.

If You have acquired this Program based on the Authorized User charge metric, then this Program is licensed for install on a single server. You must acquire a separate Authorized User license for each Authorized User of the Program as described below.

Authorized User: An Authorized User is one and only one individual with a specific identity within or outside Your organization. A PoE is required for each Authorized User accessing the Program or any Program component either directly or indirectly through any means. An example of "indirect" access would be through a multiplexing program, device, or application server.

The Program can be accessed by multiple Authorized Users provided that an Authorized User license has been obtained for each individual. Authorized Users have a unique specific identity and ID's cannot be shared or transferred unless there is a change in employment status. An ID can establish one or more connections to the Program and count as a single Authorized User. If an Authorized User makes connections to other DB2 data servers, additional PoE(s) should be acquired for those connections using the charge metric for those other DB2 data servers.

Connections made to this Program through the Intranet (connections from within Your organization) must be counted as Authorized Users. This Program permits connections from the Internet (connections from outside Your organization) provided that each user can be authorized as per the above definition.

DB2 must be licensed to a minimum of 25 Authorized Users per 100 Processor Value Units (rounded up to the nearest 100 Processor Value Units) that apply to the processors available to each virtual server on which DB2 is installed. A virtual server is created by partitioning a physical server.

2.2) Processor Value Units (PVU)

Charges for the Program may be based on the Processor Value Unit charge metric.

If You have acquired this Program based upon Processor Value Units, then this Program is licensed based on the number of Processor Value Units that apply to the processors that are attached or available to the DB2 data server or servers on which this Program is installed. You must acquire separate Processor Value Unit licenses for each of the processors that are attached or available to the DB2 data server.

The total number of processors attached or available may not exceed the number authorized by the applicable Value Unit PoE(s).The Processor Value Unit licensing model is described at URL: http://www.ibm.com/software/sw-lotus/services/cwepassport.nsf/wdocs/pvu_licensing_for_customers

3) Usage Restrictions

3.1) Component Usage Restrictions

You are not authorized to use the following with the Program: DB2 Database Partitioning Feature.

3.2) DB2 Performance Optimization Feature for Enterprise Server Edition

This feature can only be acquired:

a) for use with DB2 Enterprise Server Edition Version 9.7, IBM InfoSphere Warehouse Enterprise Base Edition Version 9.7, IBM Enterprise Base Warehouse Feature for DB2 Version 9.7; and

b) if the feature is licensed with the same charge metric as the underlying DB2 data server.

This feature contains the DB2 Performance Expert for Multiplatforms, DB2 Query Patroller, and DB2 Workload Management components. A PoE for this feature must be acquired separately. You are authorized to use these components only in association with the licensed DB2 data server with which You have acquired these components.

Before using this feature, You agree to register the appropriate license key using the DB2 License Center. The license key is included with Your PoE for this feature.

3.3) DB2 Storage Optimization Feature

This feature can only be acquired:

a) for use with DB2 Enterprise Server Edition Version 9.7, IBM InfoSphere Warehouse Enterprise Base Edition Version 9.7, IBM Base Warehouse Feature for DB2 Version 9.7; and

b) if the underlying DB2 data server is licensed with the Processor Value Unit charge metric.

This feature contains the Row Level Compression, Table Compression and Index Compression components. A PoE for this feature must be acquired separately.

Before using this feature, You agree to register the appropriate license key using the DB2 License Center. The license key is included with Your PoE for this feature.

3.4) DB2 Advanced Access Control Feature

This feature can only be acquired:

a) for use with DB2 Enterprise Server Edition Version 9.7, IBM InfoSphere Warehouse Enterprise Base Edition Version 9.7, IBM Base Warehouse Feature for DB2 Version 9.7, IBM InfoSphere Warehouse Enterprise Edition Version 9.7, IBM Enterprise Warehouse Feature for DB2 Version 9.7, IBM InfoSphere Warehouse with Optim Data Retention Version 9.7; and

b) if the feature is licensed with the same charge metric as the underlying DB2 data server.

This feature contains the Label Based Access Control component. A PoE for this feature must be acquired separately.

Before using this feature, You agree to register the appropriate license key using the DB2 License Center. The license key is included with Your PoE for this feature.

3.5) Homogeneous Replication Feature for DB2 Enterprise Server Edition

This feature can only be acquired:

a) for use with DB2 Enterprise Server Edition Version 9.7, IBM Base Warehouse Feature for DB2 Version 9.7, IBM Enterprise Warehouse Feature for DB2 Version 9.7, any IBM InfoSphere Warehouse Edition Version 9.7; and
b) if the underlying DB2 data server is licensed with the Processor Value Unit charge metric.

A separately chargeable Homogeneous Replication Feature for DB2 Enterprise Server Edition provides the queue-based replication functionality to replicate across DB2 databases. Any other use requires that you acquire a fully licensed copy of an IBM WebSphere Replication Server product.


A PoE for this feature must be acquired, licensed on a Processor Value Unit basis for every processor attached or available to the DB2 data server or servers on which this feature is installed.

Before using this feature, You agree to register the appropriate license key using the DB2 License Center. The license key is included with Your PoE for this feature.

3.6) DB2 Geodetic Data Management Feature

This feature can only be acquired:

a) for use with DB2 Enterprise Server Edition Version 9.7, IBM InfoSphere Warehouse Departmental Edition Version 9.7, IBM InfoSphere Warehouse Enterprise Base Edition Version 9.7, IBM Base Warehouse Feature for DB2 Version 9.7, IBM InfoSphere Warehouse Enterprise Edition Version 9.7, IBM Enterprise Warehouse Feature for DB2 Version 9.7, IBM InfoSphere Warehouse with Optim Data Retention Version 9.7; and

b) if the feature is licensed with the same charge metric as the underlying DB2 data server.

This feature contains the Geodetic Data Management component. A PoE for this feature must be acquired separately.

Before using this feature, You agree to register the appropriate license key using the DB2 License Center. The license key is included with Your PoE for this feature.

3.7) DB2 Mobility on Demand

The PoE that You have acquired for this Program entitles You to use the Mobility on Demand component. Your use of the Mobility on Demand component is limited in that the sync server component of Mobility on Demand must be installed on the same server as the licensed DB2 data server. The Mobility on Demand component may not be used for any other purpose.

4) High Availability/Failover Configurations

You must license all DB2 data servers that participate in these configurations under the same charge metric.

After a DB2 data server is fully licensed, it can be used to service user workload. In High Availability configurations this server is called a Primary server; additional servers acting as backups are called Standby servers that may be deployed in Hot, Idle, or Cold configurations.

In Hot, Idle, or Cold Standby configurations, You must acquire a correct number of Processor Value Unit or Authorized User PoE(s) in addition to the Processor Value Unit or Authorized User PoE(s) You obtained for the Primary server.

4.1) Hot Standby

In a Hot Standby configuration, the Program is operational on all servers to service user transactions or queries. Because each of the Hot Standby servers is used to operate the Program for user transactions or queries before and after a failure, the Program must be fully licensed on all Hot Standby Servers.

If You are licensing under the Processor Value Unit charge metric, then in Hot Standby, You must license the Program for the number of Processor Value Units that apply to the processors attached or available to all Hot Standby server(s). For example, consider an environment with two servers, one Primary server with four processors and one Hot Standby server with two processors. This environment must be licensed for the Processor Value Units that apply to all six processors (four for the Primary server and two for the Hot Standby server).

If You are licensing under the Authorized User charge metric, then in Hot Standby, You must license the Program for the number of Authorized Users associated with the processors attached or available to all the Hot Standby server(s) for which DB2 is installed. For example, consider an environment with two servers, one Primary server with DB2 installed on four processors and the other one is a Hot Standby server with DB2 installed on two processors. The Primary server must be licensed with a minimum of 25 Authorized Users for each of the four processors for which DB2 is installed or the total number of Authorized Users accessing the data server installed on the four processors, whichever is greater. For the Hot Standby server, this server must be licensed in the same manner as the Primary server; for example, a minimum of 25 Authorized Users for each of the two processors on the Hot Standby server or the total number of Authorized Users accessing the data server, whichever is greater.

4.2) Idle Standby

In an Idle Standby configuration, Idle Standby servers have the Program installed, however, they do not have the Program operational to service user transactions or query workloads. A server is considered Idle if it is used exclusively for administrative actions that assist in failover scenarios such as having a database in rollforward pending state to support log shipping, or in making a flash copy of a DB2 database and then performing a database backup of this copy on another server, or in keeping a standby database synchronized using the High Availability Disaster Recovery (HADR) component.

If You are licensing under the Processor Value Unit charge metric, then in Idle Standby, You must license the Program for 100 Processor Value Units per Idle Standby server only, regardless of the number of processors attached or available to the server. For example, consider an environment with two servers, one Primary server with four processors and one Idle Standby server with two processors. This environment must be licensed for the Processor Value Units that apply to the four processors on the Primary server plus an additional 100 Processor Value Units for the Idle Standby server.

If You are licensing under the Authorized User charge metric, then in Idle Standby, You must license the Program for 25 Authorized Users only, regardless of the number of processors attached or available to the server. For example, consider an environment with two servers, one Primary server with DB2 installed on four processors and one Idle Standby server with two processors. The Primary server must be licensed with a minimum of 25 Authorized Users for each of the four processors on which DB2 is installed, or the total number of Authorized Users accessing the data server installed on the four processors, whichever is greater. For the Idle Standby server, only 25 Authorized Users must be licensed.

4.3) Cold Standby

In a Cold Standby configuration, Cold Standby servers may have the Program installed, however, they do not have the Program powered on. A server is considered Cold if, to use it, You must run the command "db2start" to instantiate the DB2 data server.

There are no charges for the Program on Cold Standby servers.

5) Host Connections

Restrictions on the use of DB2 with mainframe and iSeries data sources:

5.1) DB2 connect component

The DB2 connect component included with the Program may be used only for connecting to a properly licensed DB2 data server on Linux, UNIX or Windows. The component is not licensed for use with DB2 for z/OS and OS/390, DB2 Server for VSE & VM, and DB2 for iSeries data servers. If users need to connect to any of the above mentioned DB2 data servers, a separate PoE for a DB2 Connect program must be acquired.

5.2) IBM Data Server Driver for JDBC and SQLJ

The IBM Data Server Driver for JDBC and SQLJ included with the Program may be used for connecting to a properly licensed DB2 data server on Linux, UNIX or Windows. The driver is not licensed for use with DB2 for z/OS and OS/390, DB2 Server for VSE & VM, and DB2 for iSeries data servers. If users need to connect to any of the above mentioned DB2 data servers, a separate PoE for a DB2 Connect program must be acquired.
